This Code of Conduct outlines the principles and expectations for all employees, officers, and directors of Goldfish Social Inc. ("the Company"). It serves as a guide for making sound decisions, fostering a positive and inclusive work environment, and upholding our reputation with clients, partners, and the broader community.
Adherence to this Code is a condition of employment and applies to all Company-related activities, whether in the office, at client sites, or in virtual interactions.

1. Compliance with Laws and Regulations
Goldfish Social Inc. is committed to conducting its business in full compliance with all applicable laws, rules, and regulations in every jurisdiction where we operate, including those of Delaware (where we are incorporated) and New York (where we are based). This includes, but is not limited to, laws related to:
- Employment and labor practices

- Financial reporting and taxation
Ignorance of the law is not an excuse for non-compliance. If you are unsure about any legal requirement, you must seek guidance from your manager or the Legal Department.

- Data Security: All employees are responsible for safeguarding Company data and systems, adhering to established security protocols, and reporting any suspected data breaches or security vulnerabilities immediately.
4. Conflicts of Interest
Employees must avoid situations where their personal interests conflict, or appear to conflict, with the interests of Goldfish Social Inc.
- Personal Gain: Do not use your position, Company information, or Company assets for personal gain or to benefit friends or family.
- Outside Activities: If you engage in outside employment, consulting, or business activities, ensure they do not interfere with your duties at Goldfish Social Inc. or create a conflict of interest. Such activities should be disclosed to and approved by your manager and HR.
- Gifts and Entertainment: Exercise good judgment regarding accepting gifts, favors, or entertainment. These should be of nominal value and not influence business decisions or create an appearance of impropriety.
5. Protection and Proper Use of Company Assets
All employees are responsible for protecting the Company's assets and ensuring their efficient and proper use. Company assets include physical property, intellectual property, financial resources, and information systems.
- Use Company assets only for legitimate business purposes.
- Prevent waste, damage, theft, or misuse of Company property.
- Maintain accurate and truthful Company records and financial reports.
6. Ethical Business Practices
We are committed to conducting business fairly, honestly, and with integrity.
- Fair Dealing: Treat clients, partners, competitors, and suppliers fairly and honestly. Do not engage in manipulation, concealment, abuse of privileged information, misrepresentation of material facts, or any other unfair-dealing practice.
- Anti-Bribery and Corruption: We have a zero-tolerance policy for bribery and corruption. Do not offer, give, solicit, or accept bribes or improper payments.
- Accurate Record-Keeping: All business records, including financial records, expense reports, and timekeeping, must be accurate, complete, and truthful.
7. Communication
- Internal Communication: Foster open, honest, and respectful communication within the Company.
- External Communication: Represent Goldfish Social Inc. professionally and accurately in all external communications. Be mindful that anything shared publicly, including on social media, can reflect on the Company. Only authorized individuals should speak on behalf of the Company on official matters.
8. Reporting Violations and Non-Retaliation
- Reporting Concerns: If you believe that a violation of this Code, Company policy, or applicable law has occurred or may occur, you have a responsibility to report it. You can report concerns to your manager, Human Resources, or the Legal Department.
- Non-Retaliation: Goldfish Social Inc. strictly prohibits retaliation against any employee who, in good faith, reports a concern or participates in an investigation. Any act of retaliation will be subject to disciplinary action, up to and including termination of employment.
9. Consequences of Violations
Violations of this Code of Conduct will result in disciplinary action, which may include, but is not limited to, verbal warnings, written warnings, suspension, and termination of employment, in accordance with Company policy and applicable law. Serious violations may also result in legal action.

By working at Goldfish Social Inc., you acknowledge that you have read, understand, and agree to abide by this Code of Conduct. You are expected to integrate these principles into your daily work and decision-making.
