Terms and Conditions

1. Overview
The Cohley Referral Program (the “Program”) rewards customers, agency partners, creators, Cohley Evangelists, and former champions for connecting Cohley with marketers in their network. When a brand or agency you refer becomes a paying Cohley customer and meets the criteria in these terms, both you and the referred company may earn rewards as described below.
These Terms and Conditions (the “Terms”) govern participation in the Program. By submitting a referral or otherwise participating, you accept these Terms in full.

2. Definitions

• Referrer: the individual who submits a referral through the Program.
• Referred Company: the brand or agency identified in a referral.
• Qualifying Referral: a referral that meets all eligibility criteria in Section 5 and results in the Referred Company becoming a paying Cohley customer within the time period stated in these Terms.
• ICP: Cohley’s Ideal Customer Profile, as described in Section 5 and as determined by Cohley.
• Creator Compensation Credits: account credits that may be applied toward creator compensation on a Cohley account, subject to Cohley’s standard usage terms.
• Affiliated: with respect to a Referrer, any brand, agency, or entity that directly or indirectly controls, is controlled by, or is under common ownership or control with the Referrer or the Referrer’s company. For this purpose, control includes common or majority ownership, a parent or subsidiary relationship, shared officers or directors, or shared operational control.

3. Eligibility to Participate
Anyone located in the United States or Canada is eligible to participate as a Referrer. Customers, agency partners, creators, Cohley Evangelists, and former Cohley champions are all welcome to refer.

4. Submitting a Referral
Referrals must be submitted through Cohley’s official referral form. Upon submission, Cohley will review the referral and inform the Referrer whether the Referred Company is eligible under the full ICP criteria. Submitting a referral does not guarantee a reward; rewards are issued only for Qualifying Referrals, as defined in these Terms.

5. Qualifying Referrals
A referral qualifies for rewards only when the Referred Company becomes a paying Cohley customer and meets all of the following criteria.

The Referred Company must:

• Sell physical products to consumers in the United States and/or Canada, or be a marketing agency serving companies that sell physical products to consumers in the United States and/or Canada;
• Generate $10 million or more in annual revenue;
• Employ more than 20 full-time staff;
• Fully meet Cohley’s ideal customer profile criteria, which includes the items above and excludes companies in industries Cohley does not partner with (for example, CBD, adult entertainment, and weapons). Cohley determines ICP eligibility in its sole discretion and will inform the Referrer whether the Referred Company is eligible upon submission of the referral; and
• Referrals must be to a business email address
  

Additional conditions.
In addition, the Referred Company must:

• Not be a current or former Cohley customer;
• Not have engaged with the Cohley team within the past 12 months; and
• Purchase Cohley within 6 months of the referral date.

6. Rewards Rewards are issued once a Qualifying Referral becomes a paying Cohley customer, as set out below:

• Referrer whose company is a Cohley customer: $1,500 cash, paid to the Referrer personally, plus $5,000 in Creator Compensation Credits applied to the Referrer’s brand or agency account
• Referrer whose company is not a Cohley customer: $2,000 cash, paid to the Referrer personally ($1,500 plus an additional $500 in lieu of Creator Compensation Credits)
• Referred brand or agency: $2,500 in Creator Compensation Credits to get started

7. Program Rules
First referral counts. If more than one person refers the same brand or agency, only the first referral submitted is eligible for rewards.

Affiliated referrals. Referrals of brands or agencies that are Affiliated with or owned by the Referrer or the Referrer’s company are not eligible for any cash reward. Creator Compensation Credits described in Section 6 will still be issued, subject to these Terms.

Disclosure. Referrers must disclose at the time of submission any affiliation, ownership interest, or business relationship between themselves (or their company) and the Referred Company. Cohley may determine in its sole discretion whether an affiliation exists, and may request supporting information before issuing any reward.

Misrepresentation. If a Referrer fails to disclose a known affiliation, or misrepresents the relationship between the Referrer and the Referred Company, Cohley may withhold or revoke any reward (including Creator Compensation Credits) and may disqualify the referral.

8. Reward Issuance and Payment
Rewards are issued only after the Referred Company becomes a paying Cohley customer and the referral is confirmed as a Qualifying Referral. Cash rewards are paid to the Referrer personally. Creator Compensation Credits are applied to the applicable Cohley account and are subject to Cohley's standard credit usage terms.

Cohley will issue eligible rewards within 60 days of confirming that the Referred Company has become a paying customer.

Cohley may require the Referrer to provide tax and payment information before issuing any cash reward.

9. Taxes
Cash payments may be subject to applicable taxes, which are the sole responsibility of the Referrer. Cohley may be required to report payments and may request tax documentation (for example, a completed Form W-9) before issuing a cash reward.

10. Changes to the Program
Cohley reserves the right to modify, suspend, or terminate the Program, or to amend these Terms, at any time. Material changes will be reflected in the updated Terms posted by Cohley.

11. General
Cohley's determinations regarding eligibility, ICP fit, and reward issuance are final. The Program is void where prohibited. These Terms are governed by the laws of Delaware and the United States of America, without regard to its conflict-of-laws principles.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
